Position Requirements

 Education

  • A Bachelor’s degree in Law
  • Master’s degree would be an added advantage

Experience

  • At least 7 years of experience in legal advisory within the financial services industry with 5 years in a Company Secretarial function.

 

Certifications

Admitted Attorney

Knowledge

  • In-depth knowledge of country regulatory of the financial/banking services industry and legislation including microfinance
  • In-depth knowledge of corporate governance best practice and board composition and function.

 

Skills

  • Ability to take a lead role in the formulation of policies and direction of practices to protect the legal interest of the organization.
  • Excellent communication skills and the ability to engage with Board Members, Shareholders and Management
  • Ability to keep up to date with changes in legislation and advise the organisation accordingly.
  • Strong contract drafting and negotiation skills.
  • Strong analytical and problem-solving skills.
  • Excellent verbal and written communication
  • Ability to work collaboratively in cross-functional teams.

Main Purpose (Why does the exist)

 

Responsible for providing legal counsel and executing the role of Company Secretary to the Board. Ensure that the company’s policies and procedures conform to the country's laws and regulatory requirements.

 

Critical Deliverables /Core Accountabilities and Responsibilities

  • Monitor and interpret applicable laws, regulations, and industry standards to ensure company compliance.
  • Provide expert legal advice on a wide range of matters, including contracts, employment law, intellectual property, and more.
  • Draft, review, and negotiate contracts, agreements, and legal documents. 
  • Provide legal guidance to internal departments to ensure their activities adhere to legal and regulatory standards.
  • Act as the Company Secretary, ensuring proper documentation and record-keeping of board meetings, shareholder communications, and corporate governance matters. 
  • Provide guidance on corporate governance practices and maintain compliance with statutory requirements. 
  • Support the board of directors in preparing for meetings, drafting resolutions, and maintaining corporate records.
  • Interact with regulatory authorities, respond to inquiries, and maintain positive relationships.
  • Keep abreast of changes in regulatory frameworks and assess their impact on the company’s compliance strategies.
  • Assess legal and compliance risks and develop strategies to mitigate potential liabilities. Collaborate with the Risk Management team to align legal and compliance risk management efforts.
